Terms of Service

1. Introduction & Contract Formation

These Terms of Service ("Terms") constitute a binding contract between you ("Attendee," "you," or "your") and West Zephyr LLC, a Wyoming limited liability company ("West Zephyr," "we," "our," or "us"), operating in partnership with HER.IQ for the HER.IQ Miami retreat.

West Zephyr LLC is registered as a Seller of Travel in California (CST 2147017-40) and Florida (ST46407).

A binding contract is formed when we receive your deposit and send you a booking confirmation. By completing your booking, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Retreat Pricing & Payment

Retreat prices are quoted in U.S. dollars and include the services listed in your tier description (The Miami Experience or Full Immersion). Prices do not include airfare, travel insurance, visa fees, gratuities, or items not explicitly listed as included.

Payment Schedule

Failure to pay by the due date may result in cancellation of your booking. We accept payment by credit card (Visa, Mastercard, American Express).

3. Cancellation & Refund Policy

We strongly recommend purchasing comprehensive trip protection insurance at the time of booking to protect your investment against unforeseen circumstances. See Section 4: Travel Insurance below.

In limited circumstances and at our sole discretion, we may allow you to transfer your booking to another person, provided the replacement attendee meets any applicable requirements and the transfer is requested at least 30 days before the retreat start date. A transfer fee may apply.

4. Travel Insurance

Given our no-refund policy, we strongly recommend purchasing a comprehensive travel insurance policy that covers:

• Trip cancellation and interruption
• Medical emergencies and evacuation
• Travel delays and missed connections
• Lost or delayed baggage

Purchase your policy as soon as you book to ensure maximum coverage. Many policies require purchase within 14–21 days of your initial deposit for pre-existing condition coverage.

West Zephyr and HER.IQ are not responsible for any losses that would have been covered by travel insurance.

5. Force Majeure

"Force Majeure" means any event beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, war, terrorism, civil unrest, severe weather, or any event that makes it impossible or unsafe to operate the retreat.

If we cancel the retreat due to Force Majeure, we will offer you a credit toward a future HER.IQ retreat or, at our sole discretion, a partial refund less any unrecoverable costs already committed to suppliers.

We are not liable for any additional costs you incur (flights, accommodation, etc.) due to a Force Majeure cancellation.

6. Attendee Responsibilities & Assumption of Risk

By booking this retreat, you acknowledge and accept that:

• You are at least 18 years of age
• You are physically and mentally fit to participate in retreat activities
• You will disclose any relevant medical conditions, allergies, or dietary restrictions on your intake form
• You understand that certain activities (water sports, movement sessions, IV therapy) carry inherent risks
• You are responsible for obtaining any required travel documents (passport, visa)
• You will comply with the venue's rules and policies
• You will treat fellow attendees, hosts, and staff with respect

We reserve the right to refuse service or remove any attendee whose behavior is disruptive, unsafe, or inconsistent with the spirit of the retreat, without refund.

7. Limitation of Liability

To the maximum extent permitted by law, West Zephyr LLC and HER.IQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this retreat, including but not limited to: personal injury, property damage, lost enjoyment, or any health-related outcomes.

Our total liability for any claim shall not exceed the amount you paid for the retreat.

The retreat includes educational health content and clinical experiences. These do not constitute medical advice, diagnosis, or treatment, and do not create a doctor-patient relationship. Always consult your personal healthcare provider before making health decisions.

8. Intellectual Property & Media

All retreat content, materials, presentations, and educational resources are the intellectual property of HER.IQ and/or West Zephyr LLC and may not be reproduced, distributed, or shared without written permission.

By attending the retreat, you consent to being photographed and/or filmed for use in future marketing materials. If you do not wish to appear in marketing content, please notify us in writing prior to the retreat.

9. Dispute Resolution

Any dispute arising from these Terms or your retreat booking shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in the State of Wyoming. You agree to waive any right to a jury trial or to participate in a class action.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

10. General Provisions

• These Terms, together with your booking confirmation, constitute the entire agreement between you and West Zephyr LLC regarding this retreat.
• If any provision is found unenforceable, the remaining provisions continue in full force.
• Our failure to enforce any right does not waive that right.
• We reserve the right to update these Terms. Material changes will be communicated to booked attendees.
